Product Use Agreement

Licence terms for Sarman 360 and delivery/use terms for customer-specific software. These are two distinct service models.
1. Subject of the agreement
This agreement governs use of Sarman Soft's CRM / ERP software and separately agreed custom software, mobile applications, web and integration work. The Customer is the licence or project owner named in the order or project contract. Package/duration selections, technical scope and any specific agreement apply alongside this text; mandatory legal rights are reserved.
2. Sarman 360: right of use, not source code transfer
Starter, Professional and Ultra provide access to the relevant modules on Sarman 360's standard product platform. Functions such as manufacturing and HR are included only if specified in the purchased package/quotation. The licence is for the Customer's own business and authorised users. Purchase does not transfer the Sarman 360 trademark, intellectual property or source code.
Subject to statutory exceptions, unauthorised resale, sublicensing, bypassing access restrictions, copying or disabling security controls is prohibited. Dealer, multi-company or distribution use must be defined in writing. Ownership of the Customer's business data is not transferred to Sarman Soft.
3. Duration, renewal and “Unlimited Lifetime”
- 1 year: 12 months of use from the start recorded at activation.
- 2 years: 24 months of use from the start recorded at activation.
- 3 years: 36 months of use from the start recorded at activation.
- Unlimited Lifetime: A perpetual licence for the purchased package, with no annual renewal fee for that licence.
“Unlimited” refers to duration here; it does not automatically include unpurchased modules, unlimited custom development, unlimited users/capacity or source code transfer. Any specific user, company, storage or technical capacity conditions are clearly stated before ordering; hidden limits or fees are not imposed later.
Fixed-term renewals require separate approval for the new period. This agreement is not an automatic card debit instruction. The right to use a perpetual licence does not automatically become time-limited when a separate support/development agreement ends. Termination for cause and statutory rights are reserved.
4. Setup and technical environment
Deployment model, domain, user permissions, initial data and launch plan are agreed with the project team. Where hosting is included, no additional annual server fee is charged for the standard contractual scope. Requests such as installation on the Customer's own server or extra capacity are agreed in writing, including responsibilities and fees, in advance.
The Customer uses a suitable internet connection and supported current browser, shares necessary access securely and appoints an authorised setup contact. Mobile/tablet browser compatibility does not imply delivery of a standalone iOS/Android app not separately ordered. Migration scope and data cleansing needs are assessed separately.
5. Users and secure use
The Customer defines user roles according to business needs and removes access for departing or no-longer-authorised users. Passwords must not be shared, unnecessary admin rights must not be granted and suspicious access must be promptly reported. The system may not be used for unlawful content, spam, malware, unauthorised access to others' data or service disruption.
The Customer's authorised users are responsible for the accuracy of sales, inventory, accounts, invoice, personnel and production data and for checking business decisions. The software is not a substitute for accounting or legal advice. This does not remove Sarman Soft's duty to provide conforming software or liability for its own fault.
6. Training, support, maintenance and new development
Standard setup, free training and technical support announced in the package are provided within their stated scope. Requests may be submitted through Customer Support Centre, email or the project team. Share reproduction steps, the relevant module and examples with sensitive data hidden.
Correcting a malfunction in a contracted function differs from developing new features/modules. New screens, custom reports, extensive migration or additional integrations require separate approval of time and price. Without a separate service-level agreement, this text does not guarantee resolution within specific minutes/hours or uninterrupted 24/7 access. Planned maintenance and significant changes are notified appropriately; paid new work is not started without approval.
7. Payment gateways, SMS, e-invoicing and other integrations
Payment gateway, SMS, e-invoice/e-archive, shipping, banking and other connections are established within the order scope and provider capabilities. The Customer is responsible for accounts, authorisations and contracts with those providers. External charges such as transaction commissions, SMS credits, document/integrator fees, app stores, domains and third-party subscriptions are third-party services unless explicitly included; Sarman Soft does not collect them without notice.
If third-party APIs, access or legislation change, their impact is assessed and the required adaptation scope explained. The 6-instalment/0%-interest Sarman 360 purchase offer does not determine commissions under the Customer's own payment gateway agreement for collecting from its customers.
8. Custom software and source code delivery
Custom CRM / ERP, web and mobile application analysis, screens, modules, integrations, hours and acceptance criteria are defined in project documentation. Design and meeting revisions are based on approved scope; a new module or fundamental business-rule change is separate scope. An hourly/weekly/monthly work package is not a commitment to complete a project of any size without written scope.
Project source code and agreed documentation are delivered when end-of-project delivery and payment conditions are met, and installed on the agreed server. Rights to use, modify or engage third parties to develop the code, and transferred economic rights, are explicitly and separately defined in the project contract. Pre-existing Sarman 360 core software, general-purpose tools and third-party/open-source components do not become the Customer's exclusive property merely through project use; their licences are disclosed.
Post-delivery development, ongoing maintenance, security updates and external infrastructure may be separately agreed. No new annual licence fee absent from the contract automatically arises for the agreed right to use delivered project code.
9. Data, confidentiality and processing roles
The Customer lawfully enters customer, employee and supplier data and fulfils information, authorisation and transfer requirements. When processing it for hosting/support, Sarman Soft acts within Customer instructions and service purposes. Where needed, the parties define categories, access, subprocessors, safeguards and deletion/return schedules in a separate data processing annex.
Neither party discloses the other's trade secrets, project documents, credentials or confidential data to unauthorised people. Statutory notification duties are reserved. Masked/anonymised data is used for testing and support where possible. Sarman Soft may not use Customer operational data for its own independent advertising or sales lists.
10. Backups and leaving the service
Backup responsibilities, retention periods, recovery needs and server access are defined in writing for the chosen deployment model. Where the Customer manages its own server, infrastructure and backups are its responsibility unless separately purchased; the provider's contractual security and backup duties continue for hosted services.
At licence expiry or termination, an export and exit plan is agreed with support for retrieving operational data. Delivering Customer data through available export tools is not delivery of Sarman 360 source code. Legally required records are separated and the Customer is informed of deletion/return arrangements for other data. Data-loss-causing deletion is not performed without valid grounds and notification.
11. Suspension, termination and liability
For unpaid, expired or materially misused services, the relevant party is notified and given an appropriate opportunity to remedy the issue. Urgent risks such as active attacks, unauthorised access or legal requirements may require necessary, proportionate protective measures, with notice as soon as possible. Suspension does not automatically mean deletion of Customer data.
Each party is liable under applicable law for its own fault and contractual breaches. This text does not exclude Sarman Soft's liability for intent, gross negligence, data security duties or mandatory law, nor limit consumer rights concerning defects, withdrawal or other statutory remedies. Completed and incomplete work is accounted for on termination under project scope and applicable law.
12. Changes, notices and disputes
The version accepted at ordering applies. New conditions materially affecting the package, price or right of use do not apply retrospectively to past orders. The authorised contact/email in the order is used for communications; changes must be notified to the other party. The option to contact support first does not restrict access to competent courts or consumer authorities.
